Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sheet Gurus API website, application, and services (collectively, the "Service") operated by Sheet Gurus API ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Accounts

1.1 Account Creation

To use the Service, you must create an account by signing in with your Google account. You agree to provide accurate and complete information and to keep your account credentials secure.

1.2 Account Responsibilities

You are responsible for all activity that occurs under your account, including any use of API keys or MCP tokens generated through your account. You must notify us immediately of any unauthorized use.

2. Description of Service

Sheet Gurus API provides tools that allow you to connect Google Sheets to RESTful JSON APIs. The Service includes API access, API key management, MCP (Model Context Protocol) server exposure, and a web dashboard for managing your sheets and settings.

3. Google Account Access

The Service uses Google OAuth to authenticate your identity and access your Google Sheets data. We request only the permissions necessary to provide the Service (the drive.file scope). You may revoke access at any time through your Google account settings, which will disable the Service for any sheets connected through that account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious code, spam, or any content that infringes on the rights of others
  • Exceed your subscription tier's usage limits through automated means designed to circumvent rate limiting
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Interfere with or disrupt the integrity or performance of the Service

5. Subscription Plans and Billing

5.1 Plans

The Service is offered through paid subscription plans with varying usage limits. Plan details, including pricing and features, are available on our Pricing page.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. You authorize us to charge your payment method for the applicable subscription fees.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

5.4 Refunds

Refund requests are evaluated on a case-by-case basis. To request a refund, contact us at [email protected] within 30 days of the charge in question.

6. Your Data

6.1 Ownership

You retain all ownership rights to the data in your Google Sheets. We do not claim any ownership over your content.

6.2 License to Us

By connecting a Google Sheet to the Service, you grant us a limited, non-exclusive license to access, read, cache, and transmit your sheet data solely for the purpose of providing the Service. This license terminates when you disconnect the sheet or delete your account.

6.3 Data Caching

The Service may temporarily cache your sheet data (typically for 15 seconds) to improve performance. Cached data is automatically purged after the cache period expires.

7. API Keys and MCP Tokens

API keys and MCP tokens are credentials that grant access to your data through the Service. You are solely responsible for keeping these credentials secure. We are not liable for any unauthorized access resulting from compromised credentials. You should rotate or revoke any keys or tokens you believe may have been exposed.

8. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by the Company and is protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand features.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We are not responsible for the accuracy, availability, or reliability of Google Sheets or any third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including ownership, disclaimers, indemnification, and limitations of liability.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
